Companies look at several factors when determining executive pay, but the three largest components of compensation are base salary, annual incentives and long-term incentives.
Chesapeake CEO hits paydirt in '08

Oklahoma boasts the highest-paid CEO in the nation in Chesapeake Energy Corp. leader Aubrey McClendon, whose $100 million-plus compensation has attracted a lot of attention lately.


How we calculated total compensation: In determining CEO pay and wages, the Tulsa World analyzed company reports and proxy statements, which are required filings by the U.S. Securities and Exchange Commission. Additionally, since CEO pay can fluctuate based on various factors, the World used a compensation formula developed by The Associated Press to determine the pay and wages for a given year.

The CEO pay reported here involves base salary, bonuses, cash awards (performance based), and all other compensation. The World also used the “fair value” of stock awards to determine the best value of stock options for a given year. The fair value involves grants of stocks or units awarded to a CEO with a specific value; however, the stocks/ units typically are vested in later years.

NEIP: Non-equity Incentive Compensation Plan — typically invovles a cash award given to a CEO based on performance and meeting company goals.
